The following terms (the “Contract”) set out the terms subject to the legal constraints of your participation in the Ambassador of captureplace.com (the “Programme”). The programme is owned and operated and the ambassadors of captureplace.com are selected by captureplace.com.
By following the application process and participating in the Programme, you (“you” or the “Ambassador of captureplace.com”) agree to the terms and conditions contained herein, our Terms of Use and all other operating rules, the policies and procedures that may be published from time to time on captureplace.com. If you do not accept or understand this Agreement, do not continue to apply for or participate in the Programme.
You certify to captureplace.com that if you are an individual (and not a company), you are at least 18 years old. If you are a legal person, you certify that you are a company executive or that you are otherwise entitled to act on behalf of the company. You also certify that you are legally authorized to use the Programme and that you assume full responsibility for the selection and use of the Programme. This Contract is void when prohibited by law, and the right of access to the Program is revoked in those jurisdictions. You understand and agree that the arrangement is not intended to create a job, partnership or joint venture between captureplace.com and an ambassador of captureplace.com. As an Ambassador of captureplace.com, you must act honestly, respect the guidelines of the Federal Trade Commission (“FTC”) and respect all applicable laws.
By participating, you also agree that you are not subject to trade, financial and economic sanctions and that you are not on a sanctions list, including lists maintained by the Office of Foreign Assets Control (“OFAC”) of the United States Department of the Treasury, the United States Department of State, the United States Department of Commerce, the European Union or the Treasury of Her Majesty of the United Kingdom. You agree not to promote captureplace.com in and/or to customers of countries or territories subject to global sanctions (including Cuba, Iran, Syria, North Korea and the Crimean region) or parties on the sanctions lists mentioned above.
There are three basic requirements for participating in the CapturePlace.com Ambassadors Programme.
In order to enjoy the benefits of the Programme, you will have to fill in the application form available on our Ambassador reference page, submit the form and be selected by captureplace.com as Ambassador. Once you have submitted the form, captureplace.com will consider your request and decide on your position as Ambassador of captureplace.com. If you are approved for the Programme, you will become Ambassador of captureplace.com. The Ambassador of captureplace.com must register on the site (this includes all the required personal information - full name, email and social account name) and create his own captureplace.com shop. The Ambassador of captureplace.com may unsubscribe from marketing and promotional emails, unless otherwise agreed.
captureplace.com reserves the right to decide and to inform about what benefits, frequency and benefits the Ambassador of captureplace.com will receive by participating in the Programme. Benefits are offered to Brand Ambassadors during the Program in exchange for a promotion of captureplace.com.com on the social media accounts of Ambassadors. captureplace.com reserves the right to modify unilaterally, as well as to increase or limit the benefits that Ambassadors receive, and captureplace.com, taking into account commercially reasonable attempts, will inform the Ambassadors of the benefits they will receive. The Ambassador of captureplace.com must prepare at least two promotional messages on social media account and two stories. The Ambassador's social media account must be the one approved by captureplace.com for the Programme.
The Ambassador of captureplace.com must create the content.
If the Ambassador of captureplace.com uses captureplace.com trademarks (including words or graphics), this must be done in accordance with the CapturePlace.com Terms of Use and must include a statement attributing that mark to captureplace.com. The captureplace.com logo cannot be tampered with or changed.
The Brand Ambassadors are required to provide the monthly results of the Content created and posted during the programme. A monthly report should be provided to captureplace.com at the latest on the last working day of each month. The model report form will be sent to the Ambassador of captureplace.com once the report is approved for the programme.
On captureplace.com, you must immediately delete all references to captureplace.com, including the name, logo, trademark, service mark, or any other identification material.
The Ambassador of captureplace.com is solely responsible for the activity on the account of the Ambassador of captureplace.com, and the Ambassador of captureplace.com must keep his password secure. The Ambassador of captureplace.com must immediately inform captureplace.com of any security breach or unauthorized use of his account. Although captureplace.com is not responsible for the losses of the Ambassador of captureplace.com caused by unauthorized use of his account, the Ambassador of captureplace.com may be liable for the losses of captureplace.com or others as a result of this unauthorized use described above.
The Content that you post, submit, download, post, sell or use using our Program and our services is your Content for which you are solely responsible. You confirm that you have all the necessary rights in the Content and that you do not infringe the rights of a third party by publishing or using it.
captureplace.com expects the Content created by the Ambassador of captureplace.com to be an authentic and creative representation of captureplace.com products which, according to the purpose of the Content, educates subscribers and/or increases their curiosity about captureplace.com. captureplace.com respects the creative freedom of the CapturePlace.com.
By participating in the Program and creating the Content, the Ambassador of captureplace.com agrees that captureplace.com may use the Content on the Site, social media accounts, the blog or in its marketing activities, and grants a worldwide royalty-free, perpetual and non-exclusive right to publish and display the Content in any media, including the display in a gallery of the various publications,works derived from this Content. The Ambassador of captureplace.com also agrees to sign documents confirming this right and licence at the reasonable request of captureplace.com.
Except to the extent permitted by applicable law, the Ambassador of captureplace.com shall not use any illegal method of advertising to promote captureplace.com.com, and the Ambassador of captureplace.com is solely responsible for such unauthorized communications; display the Content in a manner which, at its discretion, denigrates or creates a negative or harmful image of captureplace.com;or display any Content in a manner that contains or promotes illegal activities or Content that is misleading, violates, or violates any intellectual property of third parties, privacy or other rights of any kind. The Ambassador of captureplace.com is solely responsible for compliance with all federal, state and local laws, regulations and rules regarding advertising allegations, including, but not limited to, the FTC Disclosure Guidelines.
This Contract shall enter into force at the time your request is, at the sole discretion of captureplace.com, accepted by captureplace.com and you are notified in writing or by electronic means. Either party may terminate this Contract at any time, with or without reason. Upon termination of this Agreement for any reason, all rights or licences granted hereunder shall be immediately terminated and you shall cease immediately using, and shall remove, all links to the Site, as well as all trademarks and captureplace.com logos, other trademarks and other material provided under the Program.
captureplace.com reserves the right to delete unconfirmed accounts or accounts that have been inactive for extended periods. With the violation of any applicable law or of this Contract, the Contract shall be terminated immediately and the Ambassador de captureplace.com shall understand and agree that all benefits assigned and received may be immediately recalled or confiscated and that the account of the Ambassador of captureplace.com shall be immediately terminated.
No agency, partnership, joint venture, employee-employer, franchising-franchisee, etc. relationship is provided for or created by this Contract. If any provision of this Contract is found to be invalid or unenforceable, that provision shall be removed and the other provisions shall be applied.
If a dispute arises between you and captureplace.com, we strongly encourage you to contact us directly to obtain a resolution. The Contract is governed by and any dispute or claim arising out of or in connection with it shall be settled in accordance with the procedure set out in the Terms of Use of captureplace.com.
At our sole discretion, we reserve the right to modify, suspend, award or terminate this Contract and this Program at any time, including the availability of any functionality or content. captureplace.com may also impose limitations on certain features or restrict the access of the Ambassador of captureplace.com to parties or to the entire Programme without notice or liability. Ambassador de captureplace.com is responsible for discussing and familiarizing himself with these changes. The use of the Programme by the Ambassador of captureplace.com following such amendments constitutes the acceptance by the Ambassador of captureplace.com of the terms and conditions of the changes as amended.
Securities shall be provided for reference only and shall not limit the scope or extent of the section concerned. Our failure to act in respect of a violation on your part or that of others does not waive our right to act in respect of subsequent or similar violations. We do not guarantee that we will take action against all violations of this Contract. The Ambassador of captureplace.com waives any applicable right to require an original (non-electronic) signature or delivery or preservation of non-electronic documents, to the extent not prohibited by applicable law.
We make no express or implied warranties or representations with respect to the Program or this Contract or any product or service sold by captureplace.com. Furthermore, we make no statement that the operation of the Site will be uninterrupted or error-free and we will not be liable for the consequences of any interruption or error.
You understand that the Site and the policies are created and operated to comply with all these rules and regulations and you agree to defend, indemnify and hold captureplace.com indecent for any violation of your laws and regulations, including, but not limited to, intellectual property rights, privacy rights, etc.
This Contract shall be governed by and interpreted in accordance with the French language, irrespective of any translations made for any purpose.
